ALL CONDITIONS ARE DISCUSSED INDIVIDUALLY WITH EACH ARTIST
Introduction
This Contract is made and entered into by and between Red Maple Leaf Records (“Record Label”) and [Artist Name] (“Artist”), collectively referred to as the “Parties.”
Definitions
For the purposes of this Contract:
– “Record Label” refers to Red Maple Leaf Records.
– “Artist” refers to [Artist Name].
– “Recordings” refers to the sound recordings created by the Artist under this Contract.
– “Territory” refers to worldwide for online distribution or specific county name(s) for the distribution on CD's, LP's & Mixtapes.
Term and Scope
This Contract shall commence on [Effective Date] and shall continue for a period of [Specify Duration, e.g., three (3) years or until completion of [Specify Number of Albums/Tracks], unless earlier terminated as provided herein.
The scope of this Contract shall cover the exploitation and distribution of the Artist’s Recordings worldwide.

Recording Services
The Artist shall provide recording services to the Label for the creation of [Specify Number of Albums/Tracks].
The Artist agrees to diligently and professionally perform the recording services in accordance with industry standards and the Label’s reasonable instructions.

Grant of Rights
The Artist grants the Label the exclusive right to manufacture, distribute, and sell the Recordings within the Territory during the term of this Contract.
The Artist also grants the Label the right to sublicense any rights granted herein to third parties, subject to the Artist’s prior approval, which shall not be unreasonably withheld.

Advances and Royalties
The Record Label shall provide the Artist royalty payments within 30 days of the execution of this Contract.
Artist Royalty Percentage is 25% of all income received from online distribution in the last 30 days.
Artist Royalty Percentage is 15% of all income received from the sales of physical copies, such as CD's, LP's & Mixtapes over the past 30 days.
Artist Royalty Percentage is 15% of all income received from the Official Artist Merchandize sales, over the past 30 days.
The Record Label shall account to the Artist and make royalty payments on a each 30 days basis, accompanied by a detailed statement of sales. All financial data between Record Label & Artist is strictly confidential.

Artist Royalty Percentage is fixed. All detailed financial statements will be sent to the Artist personal contacts, which are specified in this contract.
Marketing and Promotion
– The Record Label shall be responsible for marketing and promoting the Artist Recordings in order to maximize their commercial success.
– The Record Label shall allocate a reasonable marketing budget and employ various marketing and promotional strategies, including advertising, public relations & social media campaigns of the Artist.

Creative Control and Approval
The Artist shall have creative control over the artistic aspects of the Recordings, subject to the Label’s reasonable approval.
The Label shall have the right to approve the final versions of the Recordings, artwork, and related materials before their release.

Accounting and Auditing
The Record Label must provide the Artist with detailed accounting statements within 3 business days after the end of each 30-day Royalty Payment Period.
The Artist has the right to appoint an independent auditor to review the books and records of the Label related to the use of the Recordings, provided that the Record Label is given reasonable notice.
Ownership and Copyright
The Artist represents and warrants that they own or have obtained all necessary rights, licenses, and clearances for the Recordings, including the underlying compositions and any samples used.
The Artist retains ownership of the underlying compositions, and the Label shall have rights only in the sound recordings.

Termination
Either party may terminate this Contract upon written notice in the event of:
1.Material breach of any provision of this Contract by the other party, unless cured within 14 business days.
2.Bankruptcy, insolvency, or liquidation of either party.
In the event of termination, the parties shall fulfill their respective obligations until the effective date of termination.

Indemnification
Each party shall indemnify, defend, and hold harmless the other party from any claims, damages, liabilities, costs, and expenses arising out of any breach of this Contract or any infringement of third-party rights.

Confidentiality
Both parties agree to keep confidential any proprietary or confidential information disclosed by the other party during the term of this Contract. This obligation shall survive the termination of this Contract.
Governing Law and Jurisdiction
This Contract shall be governed by and construed in accordance with the laws of [Specify Jurisdiction]. Any disputes arising out of or in connection with this Contract shall be exclusively subject to the jurisdiction of the courts of [Specify Jurisdiction].
Entire Agreement
This Contract constitutes the entire agreement between the parties and supersedes any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter herein.
Amendments and Waivers
Any amendments or modifications to this Contract must be made in writing and signed by both parties.
The failure of either party to enforce any provision of this Contract shall not constitute a waiver of that provision or any other provision.
Severability
If any provision of this Contract is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
Counterparts and Electronic Signatures
This Contract may be executed in counterparts, each of which shall be deemed an original, but all counterparts together shall constitute one and the same instrument.
